End User Software Licence Agreement
Effective Date: 26th March 2025
The software is provided under a subscription license, not sold. By installing, accessing, or using the software, you acknowledge and agree to the terms of this End User License Agreement (“EULA” or “Agreement”).
This Agreement represents the full and exclusive understanding between you (“Licensee”) and Jutel Oy and its affiliates (“Licensor”) regarding the use of the software, superseding any prior discussions or agreements on this subject. Any changes or additions you make to this Agreement will not be accepted or considered binding.
By proceeding with installation or use, you agree to comply with all terms and conditions of this EULA. If you do not accept these terms, do not install or use the software. By accessing or using the App, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use the App.
Contracted Period means the period of which the Licensee is allowed to use the Licenced Software provided by the Licensor and for which the Licencee has paid the Subscription Payments.
Licensed Software refers to the software provided under this Agreement in object code form or as a service, including updates, upgrades, and modifications, but excluding any Open Source Software. If the Licensor imposes limitations—such as license keys or a cap on the number of supported units—those restrictions are considered part of this definition.
Licensed Configuration means the specific setup, including selected features and the maximum number of users, as specified by the Licensee and approved in the Purchase Contract by the Licensor. Fees are determined based on this configuration.
Object Code refers to software code in a machine-readable format that is not easily understood by humans and does not require further compilation or interpretation to execute.
Open Source Software includes any software governed by open source licenses such as the Apache License, BSD License, Mozilla Public License, GPL, GNU, or any similar licenses.
Purchase Contract means an official order issued by the Licensee with the Purchase Process to acquire the right to use the software from the Licensor, which must be acknowledged by the Licensor.
Purchase Process means the electronic or contractual process provided by the licensor and accomplished by the Licensee with the intention to purchase the right to use the Licensed Software for Contracted Period and Lisenced Configuration.
Subscription Payments mean the monthly or annual payments the Licencee agrees to pay to the licensor for the contracted period under the Purchase Contract and required for the purchase or use of the Licensor’s products containing the Licensed Software.
Source Code refers to the human-readable version of the software’s code, as opposed to machine-readable object code.
If you are signing up for or using the Service on behalf of a company, organization, or other legal entity (collectively referred to as the “Client Entity”), you confirm that you have the authority to act on its behalf and legally bind it to this Agreement. By doing so, you accept the terms of this Agreement on the Client Entity’s behalf.
Upon payment of any applicable fees, Jutel Oy and its licensors grant you a limited, non-exclusive, non-transferable, revocable subscription right to use the software in object code format, solely for your internal use and in accordance with the authorized configuration and limitations defined at the time of licensing.
You agree not to use the App in any manner other than as expressly permitted under this Agreement. Specifically: You will not market, sublicense, disclose, or distribute the software or service to any third party. You will not modify, decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the software.
Use the App only for lawful purposes.
Not modify, reverse-engineer, or distribute the service or the App.
Not upload or share content that infringes on the rights of others.
Comply with all applicable laws and regulations.
By using the App, you grant us a non-exclusive right to use and store content only to the extent necessary for providing the service. Jutel does not claim ownership over user-generated content and is not responsible for it.
Use the App for illegal, abusive, or harmful activities.
Circumvent or bypass security measures.
Transmit malicious software or unauthorized content.
Your paid plan may include an automatic renewal of the subscription. Automatic renewals happen right after the Active Contract Period ends, and the next payment is processed immediately.
The handling of VAT, withholding taxes, or sales taxes is informed on the Contract pricing sheet. These taxes may differ between a business and an individual customer, and according to tax laws and customer location.
By using the Software, you acknowledge that you have read, understood, and agree to these Terms of Use.

Welcome to ClipperAI (“the Software”), an audio editing application and software available on PC and mobile devices.The software is provided under a subscription license, not sold. By installing, accessing, or using the software, you acknowledge and agree to the terms of this End User License Agreement (“EULA” or “Agreement”).

Definitions
Confidential Information refers to proprietary information about inventions, know-how, trade secrets, and other sensitive data belonging to the Licensor or its licensors. This includes disclosures of the Licensed Software, related documentation, and any associated modifications.Contracted Period means the period of which the Licensee is allowed to use the Licenced Software provided by the Licensor and for which the Licencee has paid the Subscription Payments.

Acceptance of Terms
By accepting these terms, you confirm that you have read, understood, and agreed to these Terms, as well as our Privacy Policy. Eligibility
You must be at least 13 years old to use the App. If you are under 18, you may only use the App with parental or guardian consent. By using the App, you confirm that you meet these eligibility requirements.License Grant

User Responsibilities

Content Ownership and Usage
You retain ownership of any audio files and content you create using the App.By using the App, you grant us a non-exclusive right to use and store content only to the extent necessary for providing the service. Jutel does not claim ownership over user-generated content and is not responsible for it.
Prohibited Activities
You may not:Use the App for illegal, abusive, or harmful activities.
Circumvent or bypass security measures.
Transmit malicious software or unauthorized content.
Third-Party Services
The software may integrate with third-party services. Jutel Oy is not responsible for third-party content, policies, or practices.Subscription & Payments (If applicable)
The right to use the software requires a paid subscription. Payments are non-refundable except as required by law. Jutel Oy reserves the right to modify subscription fees with prior notice.Your paid plan may include an automatic renewal of the subscription. Automatic renewals happen right after the Active Contract Period ends, and the next payment is processed immediately.

Termination
Jutel Oy reserves the right to suspend or terminate licensee access to the software if the licensee violates these Terms. The licensee may stop using the software at any time, but the payments are valid for the Subscription Period. In the case of termination, Jutel Oy is not responsible for preserving the Content created by the licensee, and Jutel Oy has the right to delete the Content after 60 days of the termination.Disclaimer of Warranties
The software is provided “as is” without warranties of any kind. We do not guarantee uninterrupted service, error-free operation, or that the App will meet your expectations.Limitation of Liability
To the maximum extent permitted by law, Jutel Oy is not liable for any indirect, incidental, or consequential damages arising from the use of the Software.Changes to These Terms
Jutel Oy may update these Terms from time to time with a notice period of 60 days. Licensees continued use of the App constitutes acceptance of the revised Terms.Governing Law
These Terms are governed by the laws of Finland. Any disputes shall be resolved in the courts of Finland.Contact Information
